Terms of Service
The rules for using Xernee, in plain language. By using Xernee you agree to everything below.
These Terms of Service (the "Terms") are a legal agreement between you and Xernee Technologies Limited ("Xernee", "we", "us"). They govern your use of the Xernee mobile app, the seller dashboard, the public store and order viewer, and all related services (together, the "Platform"). By creating an account, ticking the acceptance box, tapping a button that refers to these Terms, or otherwise using the Platform, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, please do not use Xernee.
1. What Xernee is and is not
Xernee is an online marketplace and independent escrow facilitator. We connect buyers, sellers, and delivery partners (called "Dispatchers"), and we hold a buyer's payment until the order is collected or delivered.
Xernee is not a party to the sale of any item. We do not own, manufacture, store, possess, handle, inspect, or guarantee any item listed or sold on the Platform. The contract of sale is only between the buyer and the seller. We do not verify the quality, safety, legality, or accuracy of any listing. Xernee provides the technology that facilitates payment, escrow, messaging, and logistics, and nothing more.
2. Eligibility and your account
- You must be at least 18 years old, or the age of majority where you live, to transact, and at least 13 to hold an account, in line with our sign up flow.
- You may register with email, Google, or Apple. You are responsible for keeping your credentials and device secure and for all activity under your account.
- You agree to provide accurate, current information and to keep it up to date. One person may hold one account. Creating multiple accounts to evade limits, suspensions, or blocks is not allowed.
- Tell us immediately at support@xernee.com if you notice any unauthorised use.
3. Identity and business verification
To reduce fraud and meet legal obligations, some features require verification. This can include facial recognition (a liveness or selfie match), a government issued ID such as a NIN, and, for registered businesses, CAC details. You consent to us collecting and processing this information as described in our Privacy Policy, including through trusted verification providers we work with. Verification may be declined or returned inconclusive at our discretion, and we may withhold features or payouts where verification is incomplete.
4. Roles on the Platform
- Buyers browse, order, pay, and confirm receipt of goods.
- Sellers and Merchants list items, set prices, fulfil orders, and receive payouts to their bank.
- Dispatchers accept and complete deliveries between sellers and buyers.
You may act in more than one role, and each role is bound by the parts of these Terms that apply to it.
5. Listings and seller responsibilities
- You may only list and sell items you legally own and are permitted to sell. Prohibited items include weapons, illegal drugs, counterfeit or stolen goods, regulated items you are not licensed to sell, and anything that infringes the rights of others.
- You are solely responsible for the accuracy of your listings, including descriptions, photos, condition, price, quantity, and availability, and for fulfilling orders as described.
- You are responsible for your own tax, regulatory, and licensing obligations arising from your sales.
6. Orders, payments, and saved cards
When a buyer checks out, Xernee charges the order amount at the point of purchase using either a saved card or a one time bank transfer, processed by our payment partner, Paystack. Xernee does not store full card numbers, CVV, or PINs. Saved cards are held only as secure, tokenised authorisations by Paystack, and you may remove a saved card at any time. By saving a card, you authorise Xernee to charge it for orders you place.
7. Escrow, collection, and confirmation of goods
Funds for an order are held in escrow and are only released to the seller when the buyer confirms receipt, by scanning the seller's collection QR code or submitting the collection code in chat.
By initiating the release of funds via the QR code scan or manual code entry, the Buyer explicitly acknowledges that they have received, inspected, and verified the quality, quantity, and condition of the item purchased, and confirm that the item matches the description provided by the Seller. Once the release code is submitted, the transaction is considered finalised, the Buyer accepts the goods, and the Buyer waives the right to dispute the condition of the goods with Xernee.
Inspect before you release. Never scan or share your release code until you have physically checked the item and are satisfied. Do not release payment because a seller, a dispatcher, or any other person pressures or rushes you. Releasing the code is your decision and your confirmation that you accept the item. If an order is not collected within 7 days, it may be automatically refunded to the buyer and cancelled.
8. Fees
Xernee charges a 1% platform fee deducted from the seller's proceeds on each completed sale, and a 1% buyer fee at checkout. Payment processing and transfer fees may apply separately. Fees may change with notice. Current fees are shown at checkout and on the pricing page.
9. Seller payouts
When escrow is released, the seller's proceeds are transferred to their verified, linked bank account through Paystack. Sellers must add a payout bank account to receive funds. Payouts are subject to our payment partner's settlement timelines, and may be delayed, paused, or reversed where we detect suspicious activity, a chargeback, or a verification issue, while we investigate.
10. Delivery and Dispatchers
Where delivery is selected, a delivery fee is collected as part of the order. On completed delivery, the Dispatcher is paid their share, currently 70 percent of the delivery fee, to their linked bank account, with the remainder retained by Xernee. Dispatchers are independent providers. Xernee does not employ Dispatchers and is not liable for their conduct, delays, or handling of goods. A buyer's confirmation of receipt under Section 7 applies whether or not a Dispatcher is involved.
11. Refunds, cancellations, and disputes
Before escrow is released, a buyer may cancel an eligible order that has not been collected and be refunded to their original payment method. The automatic refund described in Section 7 also applies. Any dispute about the condition, quality, or description of goods is strictly between the buyer and the seller, as set out in Sections 7 and 17. We may, at our sole discretion and without obligation, help the parties communicate, but we are not an arbiter of quality and we do not guarantee any outcome.
12. Chargebacks, fraud, and abuse
Starting a card chargeback or dispute on a legitimate Xernee transaction is a serious matter. To protect sellers and the Platform, a chargeback may result in your account being suspended, the card being blocked from future use across the Platform, including on other accounts, and the related order's funds being frozen. Suspension is reversible on review. We may also permanently ban accounts that engage in fraud or abuse.
13. Coins and rewards
Xernee may offer coins, points, or promotional rewards. Unless we expressly state otherwise, these have no cash value, cannot be transferred, may expire, and may be changed or withdrawn at any time.
14. Subscriptions and in app purchases
Xernee offers optional paid plans for sellers, currently Basic and Premium, billed monthly or yearly, with yearly billed at a discount. Paid plans unlock features such as additional or unlimited stories, voice notes, and AI assisted listings, seller badges such as the golden ring and crown, and the ability to pin top products. Plans are purchased through the Apple App Store or Google Play and are also subject to that store's terms. Billing, renewal, and cancellation are managed through your app store account. Plans renew automatically until you cancel. Prices are shown in the app and may change with notice.
15. Guest and public viewer use
Some purchases, such as outside buyer pickup, and the public store and order viewer may be available without a full account. These Terms still apply to that use. The public viewer is provided for convenience and is read only.
16. Acceptable use
You agree not to do any of the following.
- Break the law or help anyone else break the law.
- Sell prohibited items, or defraud, harass, or impersonate others.
- Circumvent fees, escrow, suspensions, or card blocks.
- Scrape, reverse engineer, overload, or disrupt the Platform.
- Use Xernee for money laundering or any unlawful purpose.
17. Limitation of liability
Xernee acts solely as an independent escrow facilitator to hold and release payments between Buyers and Sellers. Xernee is not a party to the underlying sale of goods and does not store, possess, or inspect any items sold on the Platform. Consequently, Xernee assumes no responsibility or liability for the quality, safety, legality, or description of the items sold, or for the ability of the Seller to complete a sale. Any disputes regarding the condition or quality of the goods are strictly between the Buyer and the Seller. By using this service, the Buyer releases Xernee from all claims, demands, and damages arising out of such disputes.
To the maximum extent permitted by law, Xernee is not liable for indirect, incidental, special, or consequential damages, lost profits, or losses arising from the services of third parties such as banks, payment processors, Dispatchers, app stores, or verification providers. The Platform is provided on an "as is" and "as available" basis, without warranties of any kind. Our total aggregate liability for any claim relating to a transaction is limited to the value of that transaction.
18. Indemnity
You agree to indemnify and hold Xernee harmless from any claim, loss, or expense, including legal fees, arising from your listings, your sales or purchases, your breach of these Terms, or your violation of any law or the rights of others.
19. Suspension and termination
You may close your account at any time. We may suspend or terminate access where we reasonably believe these Terms or the law have been broken, or to protect users and the Platform. A suspension is a temporary, reversible measure. A ban is permanent.
20. Privacy
Our handling of your data, including verification, payment, device, and location data, is described in our Privacy Policy, which forms part of these Terms.
21. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified in the app or by updating the date above. Continued use after the changes take effect means you accept the updated Terms.
22. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, and you submit to the jurisdiction of its courts. Nothing here removes any statutory right you may have as a consumer that cannot be waived.
